Terms & Conditions
Welcome to Banymay (“the Service”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of the Banymay web application, APIs, and related services. Please read them carefully — by creating an account or using the Service you confirm that you have read, understood and agreed to be bound by them.
1. Introduction
Banymay is a personal investment-tracking tool that lets individual users record stocks, dividends, deposits, withdrawals and related financial events for the sole purpose of monitoring their own portfolio. The Service is not a brokerage, bank, payment institution, custodian, exchange, or regulated financial advisor. We do not hold customer assets or execute trades.
2. Definitions
- Account — the personal user account created during registration.
- Content — all data you input, upload or generate within the Service.
- Subscription — a paid plan that unlocks premium features.
- User — any natural person accessing the Service.
- GDPR — Regulation (EU) 2016/679 (General Data Protection Regulation).
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract. By using the Service you represent and warrant that you meet these requirements and that your use of the Service does not violate any law or regulation applicable to you.
4. Account & Security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. You agree to:
- provide accurate, current and complete information at registration;
- use a strong, unique password and keep it confidential;
- notify us immediately of any unauthorised access or breach of security;
- not share, sell, transfer or sublicense your Account.
We may suspend or terminate Accounts that show signs of compromise, fraud, or abuse, with or without prior notice.
5. Nature of the Service
Banymay is provided “as a tool” for self-directed users. All entries, calculations, charts, performance metrics, currency conversions, leaderboards, allocations, dividend projections and any other outputs are informational only. They are produced from the data you input and from third-party market data feeds whose accuracy and timeliness we do not guarantee.
6. No Financial, Tax or Legal Advice
Nothing in the Service constitutes investment, financial, tax, accounting or legal advice, a recommendation to buy or sell any security, or a solicitation of any transaction. You alone are responsible for your investment decisions. Always consult a qualified, licensed professional before acting on information displayed by the Service.
7. Data Accuracy
Market prices, exchange rates, dividend information, historical data, sector and country classifications, taxonomies and other reference data may be incomplete, delayed, mis-mapped or simply wrong. The Service relies on multiple third-party data providers and on data you input manually; both can contain errors. We make no warranty as to the accuracy, completeness, currency or fitness for any purpose of any data displayed.
You acknowledge that you must independently verify any figure before using it for tax filings, financial reporting, regulatory compliance, or any decision with monetary consequences. We disclaim all liability for losses caused by reliance on such data.
8. Data Availability, Backups & Loss
Although we apply commercially reasonable measures to safeguard your Content (encrypted storage, access controls, regular snapshots), the Service is provided over the public internet using cloud infrastructure that can fail. You acknowledge and accept that:
- the Service may be temporarily unavailable due to maintenance, incidents, or force majeure;
- data corruption, deletion or partial loss may occur as a result of software defects, hardware failure, third-party outages, security incidents, migration errors or human error;
- backups, while maintained, are not guaranteed to be complete, recent, or recoverable in every scenario;
- features and underlying data structures may change, causing legacy entries to be re-interpreted, hidden, or lost;
- you are solely responsible for keeping your own external copies of any Content that is important to you (we provide an export function for this purpose).
To the maximum extent permitted by law, we are not liable for any direct or indirect damages arising out of any unavailability, corruption or loss of data.
9. Subscription & Billing
Some features of the Service are available only under a paid monthly Subscription. By subscribing you authorise us (and our payment processor) to charge your selected payment method each month, in advance, until you cancel.
- Price & currency — displayed at checkout. All prices are inclusive of applicable VAT unless explicitly stated.
- Renewal — the Subscription renews automatically every month on the same calendar day (or the closest valid day).
- Failed payments — we may retry the charge and may suspend premium features until the payment succeeds.
- Price changes — we may revise the price with at least 30 days’ prior notice; you can cancel before the change takes effect.
- Taxes — you are responsible for any taxes not collected by us.
- Free trial — if a free trial is offered, you will be charged at the end of the trial unless you cancel before it ends.
10. Cancellation & Refunds
You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep premium access until then.
EU/EEA right of withdrawal — consumers in the EU/EEA have the right to withdraw from this contract within 14 days of subscribing. By starting to use premium features during this period you expressly request immediate performance and acknowledge that you lose the right of withdrawal once the service has been fully performed.
Outside of mandatory legal refund rights, payments are non-refundable, including for unused portions of a billing period. We may, at our sole discretion, grant refunds in exceptional cases (e.g. extended outages or duplicate charges).
11. Acceptable Use
You agree not to:
- use the Service for any unlawful, fraudulent, harmful or abusive purpose;
- attempt to access another user’s account or data;
- scrape, mirror or systematically extract data beyond what your own export functions allow;
- introduce malware, perform denial-of-service attacks, or attempt to bypass authentication or rate limits;
- reverse-engineer, decompile or otherwise attempt to derive the source code, except as permitted by law;
- use the Service to provide regulated financial advice to third parties.
12. Intellectual Property
The Service, its source code, design, branding, logos and documentation are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own portfolio-tracking purposes. All rights not expressly granted are reserved.
You retain ownership of the Content you input. By submitting Content you grant us a worldwide, royalty-free licence to host, store, process and display that Content solely as necessary to operate the Service for you.
13. Third-Party Services & Data
The Service integrates with third parties for market data, exchange rates, hosting, analytics, payment processing and authentication. Their availability, accuracy, and terms are outside our control. Your use of those services may also be subject to their own terms and privacy policies.
14. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied or statutory, including but not limited to merchantability, fitness for a particular purpose, accuracy, non-infringement, security, or uninterrupted operation. We do not warrant that defects will be corrected or that the Service will be free of viruses or other harmful components.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall we, our affiliates, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, data, goodwill or investment value, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) EUR 50.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (e.g. liability for gross negligence, wilful misconduct, or death/personal injury caused by negligence).
16. Indemnification
You agree to indemnify and hold us harmless from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your Content, your breach of these Terms, your violation of applicable law, or your violation of any third-party right.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for breach of these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your Content after a reasonable retention period; please export your data beforehand if you wish to keep a copy.
18. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a new “Last updated” date. Material changes will be notified through the Service or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of Romania, without regard to its conflict-of-laws principles. The courts of Bucharest, Romania, shall have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have in your country of residence.
EU consumers may also use the European Commission’s Online Dispute Resolution platform.
